1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GenEye AI Labs Inc., a Canadian corporation headquartered in Montreal, Quebec, Canada, operating under the trade name MoltSearch ("MoltSearch," "we," "us," or "our"), governing your access to and use of the MoltSearch application (the "App"), available on the Apple App Store, Google Play Store, and our website at moltsearch.ai, including all associated features, content, and services (collectively, the "Services").

By clicking "I Accept," creating an account, or otherwise accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. ELIGIBILITY

You must be at least 13 years of age to use our Services.

By agreeing to these Terms, you represent and warrant that: (a) you are at least 13 years of age; (b) if you are between 13 and 18 years of age, you have obtained consent from a parent or legal guardian who has reviewed and agreed to these Terms on your behalf; (c) you have not been previously suspended or removed from our Services; (d) your registration and use of our Services complies with all applicable laws and regulations.

3. ACCOUNT REGISTRATION AND SECURITY

To access certain features of our Services, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security of your password and account credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us at support@moltsearch.ai if you suspect any unauthorized access to or use of your account.

Guest users may access limited functionality without registration, subject to reduced usage quotas. Guest data is stored locally on the device and is not synchronized to our servers.

4. SERVICE DESCRIPTION

MoltSearch provides a unified platform that enables users to access multiple third-party artificial intelligence models and services through a single interface. Our Services include:

Access to up to 10 AI models from third-party providers ("AI Providers"), including ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), Llama (Meta via Together AI), Grok (xAI), DeepSeek, Mistral (Mistral AI), Qwen (Alibaba), Kimi (Moonshot AI), and Minimax.
An AI Persona Marketplace featuring both MoltSearch-curated and community-created AI personas.
The LLM Council multi-model deliberation feature with peer review and consensus scoring.
Web search, image search, and video discovery capabilities.
The My AI Memory personalization feature with local and cloud storage options.
PromptVerse community platform for sharing and discovering AI prompts.
On-device multilingual translation powered by Google ML Kit.
In-app browser with optional Privacy Shield features.

MoltSearch acts as an intermediary platform and does not directly provide AI models or AI-generated content. We aggregate and facilitate access to third-party AI services for the convenience of our users.

5. SUBSCRIPTION PLANS AND PAYMENT

5.1 Subscription Tiers

Our Services are offered through three subscription tiers, each with specific usage limits and feature access:

Free: Basic access with limited daily queries and council sessions.
Pro: Enhanced access with increased limits and premium AI model access.
Max: Full access with the highest limits and frontier AI model access.

MoltSearch reserves the right to modify subscription tier features, pricing, and usage limits at any time with 30 days' prior notice.

5.2 Payment Processing

Payments are processed through third-party payment processors, including Apple (App Store), Google (Play Store), and Stripe. Your use of these payment services is subject to their respective terms and conditions. MoltSearch does not store your full credit card or banking information.

5.3 Subscription Terms

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or the applicable app store. Cancellation takes effect at the end of the current billing period.

5.4 Refunds

Refund requests are handled in accordance with the policies of the applicable payment processor and app store. Pre-paid credits are generally non-refundable except as required by applicable consumer protection law, including the Consumer Protection Act (Quebec).

6. USER CONTENT AND INPUTS

6.1 User Inputs

You may provide text, images, data, and other content as input to our Services ("User Inputs") and receive outputs generated by AI models ("AI Outputs"). You retain ownership of your original User Inputs, subject to the license granted below.

6.2 License to MoltSearch

By submitting User Inputs, you grant MoltSearch a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and process your User Inputs solely for the purpose of providing the Services to you, improving our Services, and as otherwise permitted by our Privacy Policy.

6.3 User as Publisher

You acknowledge that you are the publisher of any content generated using the Services and bear full responsibility for any use, publication, or dissemination of AI Outputs. MoltSearch is not the publisher, author, or endorser of any AI Output.

7. AI MEMORY FEATURE

IMPORTANT: This section governs your use of the My AI Memory feature. Please read carefully.

7.1 Feature Description

The My AI Memory feature ("AI Memory") allows you to store facts, preferences, goals, interests, and personal context ("Memory Content") that can be used to personalize your AI interactions.

7.2 User Responsibility for Memory Content

You are solely responsible for all Memory Content you create and store. You represent and warrant that: (a) You have the right to store and use the Memory Content; (b) Your Memory Content does not violate any applicable law or third-party rights; (c) You understand that Memory Content will be used to personalize AI responses; (d) You understand that Memory Content may be transmitted to third-party AI Providers and embedding services for processing.

7.3 Memory-Enhanced AI Outputs Disclaimer

AI OUTPUTS THAT ARE PERSONALIZED USING YOUR MEMORY CONTENT ("MEMORY-ENHANCED OUTPUTS") ARE SUBJECT TO THE SAME DISCLAIMERS AS ALL OTHER AI OUTPUTS. Memory-Enhanced Outputs may contain errors, inaccuracies, or hallucinations even when based on accurate Memory Content.

8. LLM COUNCIL FEATURE

IMPORTANT: This section governs your use of the LLM Council multi-model deliberation feature. Please read carefully.

8.1 Feature Description

The LLM Council feature ("Council") enables multi-AI model deliberation on your queries. When you submit a query to the Council, it is processed through a three-stage deliberation: (a) Stage 1 - Individual Opinions: Multiple AI models independently respond to your query; (b) Stage 2 - Peer Review: AI models anonymously rank each other's responses to generate approval percentages; (c) Stage 3 - Chairman Verdict: A designated Chairman AI model synthesizes all opinions and rankings into a final verdict with consensus scoring.

8.2 Multi-Provider Transmission Consent

BY USING THE LLM COUNCIL FEATURE, YOU EXPRESSLY CONSENT TO THE SIMULTANEOUS TRANSMISSION OF YOUR QUERY TO MULTIPLE AI PROVIDERS. Your Council query may be transmitted to up to ten (10) different AI Providers simultaneously, including OpenAI, Anthropic, Google, Meta (via Together AI), xAI, DeepSeek, Mistral AI, Alibaba, Moonshot AI, and Minimax.

8.3 Council Output Disclaimers

CRITICAL DISCLAIMERS REGARDING LLM COUNCIL OUTPUTS

CONSENSUS DOES NOT MEAN ACCURACY: A high consensus score or unanimous agreement among AI models does NOT indicate that the response is accurate, true, or reliable. All participating AI models may be simultaneously wrong.
PEER REVIEW IS AI-GENERATED: The peer review rankings and approval percentages are generated by AI models evaluating other AI models. These rankings do NOT constitute professional evaluations or expert opinions.
CHAIRMAN VERDICT IS SYNTHESIZED AI OPINION: The Chairman's verdict is an AI-generated synthesis, NOT an authoritative conclusion.
NOT PROFESSIONAL ADVICE: LLM Council outputs do NOT constitute and should NOT be relied upon as professional advice of any kind.
COLLECTIVE INTELLIGENCE LIMITATIONS: The "collective intelligence" of multiple AI models does not guarantee superior results. AI models may share common biases, training data limitations, or systematic errors.

8.4 User as Publisher of Council Outputs

You acknowledge that you are the publisher of any Council outputs you share, export, or disseminate. MoltSearch is not the publisher, author, or endorser of any Council output. You bear full responsibility for verifying the accuracy of Council outputs before relying on or sharing them.

8.5 No Agency or Endorsement

The participating AI models in the LLM Council do NOT act as agents, representatives, or employees of MoltSearch or GenEye AI Labs Inc. No individual model response, peer ranking, consensus score, or Chairman verdict has authority to bind MoltSearch or create legal obligations of any kind.

9. AI OUTPUTS DISCLAIMER

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS CRITICAL DISCLAIMERS REGARDING ALL AI-GENERATED CONTENT.

9.1 Nature of AI Outputs

AI Outputs are generated by third-party artificial intelligence models and are provided for informational, educational, and entertainment purposes only. MoltSearch does not create, author, control, verify, or endorse the content of AI Outputs. AI models are provided by independent third-party suppliers over whom MoltSearch exercises no control over model training, architecture, or output generation.

9.2 No Professional Advice

AI OUTPUTS DO NOT CONSTITUTE AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LEGAL ADVICE, MEDICAL OR HEALTH ADVICE, FINANCIAL OR INVESTMENT ADVICE, TAX OR ACCOUNTING ADVICE, PSYCHOLOGICAL OR MENTAL HEALTH ADVICE, ENGINEERING OR SAFETY ADVICE, OR ANY OTHER PROFESSIONAL SERVICE.

Always consult with qualified professionals before making decisions based on any information obtained through our Services. MoltSearch shall not be liable for any decisions made or actions taken based on AI Outputs.

9.3 AI Hallucination and Inaccuracy

AI models are known to produce outputs that appear factual but are partially or wholly fabricated ("hallucinations"). AI Outputs may contain factual errors, outdated information, fabricated citations, misleading statements, biased perspectives, or complete fabrications. You accept full responsibility for independently verifying any AI Output before relying on it for any purpose.

9.4 No Agency or Representation

You acknowledge and agree that artificial intelligence models, AI Outputs, AI Personas (whether curated by MoltSearch or created by community users), the AI Memory feature, and the LLM Council feature accessed through the Services do not act as agents, representatives, fiduciaries, or employees of MoltSearch or GenEye AI Labs Inc. No AI Output has authority to bind MoltSearch, make representations on MoltSearch's behalf, or create legal obligations of any kind.

10. AI PERSONAS DISCLAIMER

IMPORTANT: THIS SECTION CONTAINS CRITICAL DISCLAIMERS REGARDING ALL AI PERSONAS, INCLUDING THOSE CREATED BY COMMUNITY USERS AND THOSE THAT MAY SIMULATE REAL PEOPLE.

10.1 Nature of AI Personas

AI Personas available through our Services are fictional characters created for educational, entertainment, informational, and creative purposes only. AI Personas may include characters curated by MoltSearch, created by community users, or inspired by historical figures, public figures, celebrities, or other real persons ("Real Person Personas").

10.2 Community-Created Personas

MoltSearch allows registered users to create and publish AI Personas on the marketplace. COMMUNITY-CREATED PERSONAS ARE THE SOLE RESPONSIBILITY OF THEIR CREATORS. MoltSearch does not review, approve, endorse, or guarantee the accuracy, appropriateness, safety, or legality of community-created persona content, system prompts, personality configurations, or any outputs generated through interactions with such personas.

10.3 Real Person Personas Disclaimer

REAL PERSON PERSONAS ARE PROVIDED STRICTLY FOR EDUCATIONAL, ENTERTAINMENT, PARODY, AND CREATIVE PURPOSES. You acknowledge: (a) Real Person Personas are NOT the actual persons; (b) Real Person Personas are NOT endorsed by, affiliated with, or authorized by any real person; (c) Responses are AI-generated fiction and do NOT represent actual views, opinions, or statements of any real person; (d) You will not attribute AI-generated content to real persons; (e) MoltSearch bears no liability for any claims arising from the creation or use of Real Person Personas.

10.4 Persona Creator Liability

If you create and publish an AI Persona, you represent and warrant that: (a) Your persona does not infringe upon any third-party intellectual property rights, personality rights, or privacy rights; (b) Your persona does not promote illegal activities, hatred, harassment, or violence; (c) You accept full responsibility for any claims, damages, or legal actions arising from your persona; (d) You will indemnify and hold harmless MoltSearch from any claims related to your published persona.

11. PROMPTVERSE COMMUNITY TERMS

11.1 User-Generated Content

PromptVerse is a community platform where users can share AI prompts, vote, and comment. You are solely responsible for all content you submit to PromptVerse, including prompts, comments, and interactions.

11.2 Content Standards

You agree not to submit content that: is unlawful, defamatory, harassing, or threatening; infringes on any third-party intellectual property rights; contains malicious code or harmful instructions; promotes illegal activities or violence; or violates any applicable law or regulation.

11.3 Content Moderation

MoltSearch reserves the right, but is not obligated, to review, edit, or remove any user-generated content from PromptVerse at our sole discretion. MoltSearch does not pre-screen community content and is not responsible for content posted by users.

12. THIRD-PARTY AI PROVIDERS AND SERVICES

Our Services integrate with third-party AI Providers. MoltSearch acts as an intermediary platform and conduit for accessing these services. You acknowledge that:

AI Providers have their own terms of service and privacy policies that may apply to the processing of your inputs.
MoltSearch exercises no control over the training data, algorithms, architecture, or output generation of third-party AI models.
MoltSearch is not responsible for the content, quality, accuracy, or safety of outputs from third-party AI models.
Availability of specific AI models may change without notice due to third-party provider decisions.
MoltSearch may add, remove, or modify access to third-party providers at any time.
Third-party AI Providers are independent contractors, not agents, partners, or affiliates of MoltSearch.

13. PROHIBITED CONDUCT

You agree not to use our Services to: violate any applicable law or regulation; generate illegal, harmful, or dangerous content; create content that promotes violence, hatred, discrimination, or harassment; generate sexually explicit content involving minors; impersonate any person or entity; interfere with or disrupt our Services; circumvent security measures, usage limits, or subscription restrictions; reverse engineer, decompile, or disassemble our Services; use AI Outputs to defame, harm, or harass any person; misrepresent Council consensus scores as authoritative expert opinions; store illegal content in AI Memory; create AI Personas that infringe third-party rights; use our Services for automated scraping, data mining, or bulk content generation; or use our Services for any fraudulent or deceptive purpose.

14. INTELLECTUAL PROPERTY

The Services and all content, features, and functionality thereof (including but not limited to the MoltSearch brand, software, design, text, graphics, logos, and compilation of content) are owned by GenEye AI Labs Inc. or its licensors and are protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

15. LIMITATION OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS MOLTSEARCH'S AND GENEYE AI LABS INC.'S LIABILITY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENEYE AI LABS INC. (OPERATING AS MOLTSEARCH), ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

This limitation applies to but is not limited to:

Your access to or use of (or inability to access or use) the Services.
Any AI Outputs, Memory-Enhanced Outputs, Council Outputs, AI Persona Outputs, or community-created persona interactions.
Any third-party conduct, content, or services accessed through our platform.
Unauthorized access to or alteration of your transmissions or content.
Any decisions or actions taken based on AI Outputs, Council consensus scores, Chairman verdicts, or AI Persona interactions.
Loss or corruption of Memory Content, Council session data, persona data, or PromptVerse content.
Unavailability, errors, or changes in third-party AI models or services.
Content created, published, or shared by other users of the platform, including community-created personas and PromptVerse contributions.
Any reliance on AI-generated content for professional, medical, legal, financial, or other consequential decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GENEYE AI LABS INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO MOLTSEARCH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Nothing in these Terms excludes or limits any rights that cannot be excluded or limited under applicable consumer protection laws, including the Consumer Protection Act (Quebec) and any mandatory provisions of PIPEDA or Quebec Law 25.

16. DISCLAIMER OF WARRANTIES

THE SERVICES, INCLUDING ALL AI OUTPUTS, MEMORY-ENHANCED OUTPUTS, LLM COUNCIL FEATURES, CONSENSUS SCORES, CHAIRMAN VERDICTS, AI PERSONAS (WHETHER CURATED OR COMMUNITY-CREATED), PROMPTVERSE CONTENT, DISCOVER FEED CONTENT, AND ALL OTHER CONTENT AND FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.

Without limiting the foregoing, MoltSearch makes no warranty that: (a) the Services will meet your requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) AI Outputs will be accurate, reliable, complete, or current; (d) any errors in the Services will be corrected; or (e) community-created content, including AI personas and prompts, will be safe, accurate, or appropriate.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GenEye AI Labs Inc. (operating as MoltSearch), and its directors, officers, employees, agents, and affiliates, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your User Inputs, Memory Content, Council queries, or any content you create, publish, or share; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property, personality, or privacy rights; (e) your creation, publication, or distribution of AI Personas; (f) your misuse, misrepresentation, or dissemination of any AI Outputs; (g) your publication or sharing of any outputs from the Services, including Council outputs and AI Persona conversations; (h) any claim by a third party arising from content you created or published on the platform; (i) any reliance you or any third party places on AI Outputs obtained through the Services.

18. ASSUMPTION OF RISK

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. You assume all risk associated with: (a) reliance on AI-generated content; (b) interactions with AI Personas, including community-created personas; (c) sharing or publishing content through the Services; (d) decisions made based on AI Outputs, Council consensus scores, or AI Persona interactions; and (e) the transmission of your data to third-party AI Providers.

19. TERMINATION

You may terminate your account at any time by contacting us at support@moltsearch.ai or through your account settings. MoltSearch may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination: (a) your right to access the Services will immediately cease; (b) your published personas will be removed from the marketplace; (c) your PromptVerse contributions may be retained in anonymized form; (d) data deletion will proceed in accordance with our Privacy Policy.

20. MODIFICATIONS TO TERMS

MoltSearch reserves the right to modify these Terms at any time. For material changes, we will provide notice via email or prominent notice within our Services at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

21. DISPUTE RESOLUTION AND GOVERNING LAW

21.1 Governing Law

These Terms are governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Quebec, without regard to conflict of law principles.

21.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@moltsearch.ai and attempt to resolve the dispute informally for at least thirty (30) days.

21.3 Binding Arbitration

IF INFORMAL RESOLUTION IS UNSUCCESSFUL, ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE ADR INSTITUTE OF CANADA IN ACCORDANCE WITH ITS ARBITRATION RULES. The arbitration shall be conducted in Montreal, Quebec, Canada, in English or French at the election of the claimant. The arbitrator's decision shall be final and binding.

21.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

22. GENERAL PROVISIONS

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and GenEye AI Labs Inc. regarding the Services.
Severability: If any provision is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer these Terms without MoltSearch's prior written consent. MoltSearch may assign these Terms without restriction.
Force Majeure: MoltSearch shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, or third-party service disruptions.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
Survival: Sections relating to limitation of liability, disclaimer of warranties, indemnification, assumption of risk, governing law, and dispute resolution shall survive termination of these Terms.
